This End User License Agreement ("Agreement") governs use of IES Function App (the "Application"), an internal software integration owned and operated by Galt Pharmaceuticals, LLC ("we," "us," or "our"). By accessing or using the Application, the user ("you") agrees to this Agreement.
The Application is an internal tool developed for the exclusive use of Galt Pharmaceuticals, LLC and its authorized personnel. It is not offered, licensed, sold, or distributed to the public or to any third party. It exists solely to support the internal business operations of Galt Pharmaceuticals, LLC.
Subject to this Agreement, Galt Pharmaceuticals, LLC grants its authorized personnel a limited, non-exclusive, non-transferable, revocable right to use the Application solely for internal business purposes on behalf of Galt Pharmaceuticals, LLC. No other rights are granted.
You may not:
The Application connects to and exchanges data with third-party services, including Intuit's platform (via the Intuit / QuickBooks Online Accounting API) and the cloud infrastructure on which the Application's data environment operates. Your use of the Application in connection with those services is also subject to the applicable terms of those third parties. Galt Pharmaceuticals, LLC's access to and use of Intuit-sourced data is governed by its agreements with Intuit and by Intuit's applicable terms. The Application uses such data only for Galt Pharmaceuticals, LLC's internal business purposes.
The Application, including its code, configuration, and design, is and remains the property of Galt Pharmaceuticals, LLC. This Agreement does not transfer any ownership rights. Data accessed by the Application remains subject to the rights of its respective owners, including Galt Pharmaceuticals, LLC as to its own business data and Intuit as to its platform.
The Application is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Galt Pharmaceuticals, LLC does not warrant that the Application will be uninterrupted, error-free, or free of harmful components, or that the data it processes will be accurate or complete.
To the maximum extent permitted by law, Galt Pharmaceuticals, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or relating to the Application or this Agreement, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.
This Agreement applies for as long as you use the Application. Galt Pharmaceuticals, LLC may suspend, restrict, or terminate access to the Application at any time, with or without notice. Provisions that by their nature should survive termination — including ownership, disclaimers, and limitation of liability — will survive.
This Agreement is governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement will be subject to the exclusive jurisdiction of the courts located in Georgia/Cobb.
Galt Pharmaceuticals, LLC may update this Agreement from time to time. When we do, we will revise the "Effective date" above and post the updated Agreement at this location. Continued use of the Application after an update constitutes acceptance of the updated Agreement.
